1. Acceptance of these Terms

By creating an MFXT account, generating a Phantom X license key, or running the Phantom X Expert Advisor (the "EA") on a MetaTrader platform, you ("you", the "User") confirm that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not create an account and do not use the EA.

2. The service

MFXT ("we", "us", "MFXT") provides:

• The Phantom X Expert Advisor — an automated trading robot for MetaTrader 4 (.ex4) and MetaTrader 5 (.ex5) that trades the XAUUSD (Gold) instrument using a 3-EMA stack strategy;
• A web dashboard (dashboard.mfxtai.com) that displays your bot's performance, license status and AI-generated market reports;
• Licensing, support and software updates for the EA.

The EA only places trades on XAUUSD; it does not trade other symbols.

3. Eligibility and account

• You must be at least 18 years old and legally permitted to trade leveraged products in your jurisdiction.
• You must provide accurate, current information when creating your account and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account.
• Each MFXT account is for a single User. Sharing accounts is prohibited.

4. License and use of the EA

• Each license key is bound to a specific broker, server and MetaTrader login. It cannot be transferred to a different account without an MFXT re-bind request.
• Your plan defines the maximum number of license keys you may hold (e.g. 3 keys on Pro).
• You may not redistribute, resell, decompile, reverse-engineer or share the EA file with any third party.
• We grant you a non-exclusive, non-transferable, revocable license to use the EA solely for trading your own accounts.

5. No investment advice

MFXT is a software provider. Nothing in the EA, the dashboard, the AI Report or any communication from MFXT constitutes investment, financial, legal, tax or accounting advice. The EA executes a pre-defined algorithm; it does not analyse your personal financial situation, goals or risk tolerance. You are solely responsible for your trading decisions and for any losses incurred.

6. Risk disclosure

• Trading XAUUSD on margin involves substantial risk. Leverage can amplify both gains and losses.
• Past performance — whether shown on the dashboard, on social media, or in any other MFXT material — does not guarantee future results.
• The EA may incur losing trades, drawdowns or extended losing streaks. It may also fail to enter winning setups due to spread, slippage, news filters or broker conditions.
• Technical issues (VPS outage, MT5 crash, broker disconnect, internet failure) may prevent the EA from managing open positions. You remain responsible for monitoring your account.

7. Broker, VPS and your responsibility

• You choose your own broker. MFXT is not affiliated with and does not endorse any specific broker.
• You fund your own brokerage account. MFXT never has access to your funds and never executes trades on your behalf — the EA does, running inside your MetaTrader installation.
• You are responsible for the configuration of the EA (risk percentage, lot sizing, drawdown limits, news filter) and for the VPS or computer that hosts MetaTrader.
• You are responsible for verifying that running an automated trading robot is permitted by your broker (and, where applicable, by your prop firm).

8. Permitted use

You agree NOT to:

• Use the EA on accounts you do not own or have no authorisation to trade;
• Modify, tamper with or attempt to circumvent the license check;
• Use the EA in a way that violates your broker's terms, applicable laws or financial regulations in your jurisdiction;
• Use the dashboard or AI Report to disseminate false or misleading information about MFXT.

9. Billing, subscriptions and refunds

• Subscription fees and lifetime fees, where applicable, are billed in advance.
• Due to the digital and immediately-usable nature of the EA, all sales are final. No refund is provided once a license key has been issued, except where required by applicable consumer-protection law.
• For subscriptions, you may cancel at any time; access continues until the end of the current billing period.

10. Intellectual property

The EA, the dashboard, the MFXT brand, the Phantom X name and all related software, designs and content are the exclusive property of MFXT and its licensors, and are protected by copyright and other intellectual-property laws. No rights are granted to you other than the limited license described in Section 4.

11. Privacy and data

• The EA sends regular heartbeats from your MetaTrader installation to the MFXT backend (broker, MT login, account balance/equity, EA version, list of trades) so we can display your performance in the dashboard.
• We do not share your personal data or trading data with third parties except: (i) infrastructure providers (Supabase, Netlify, Anthropic, Telegram) strictly to operate the service; and (ii) where required by law.
• You may request the deletion of your account and associated data at any time by contacting support.

12. Service availability and changes

We strive to keep the dashboard and the license server available 24/7, but we do not guarantee uninterrupted access. We may modify, suspend or discontinue any part of the service, change the EA strategy or its parameters, or release new versions of the EA at our sole discretion.

13. Limitation of liability

To the maximum extent permitted by law, MFXT and its affiliates, directors, employees and contractors shall not be liable for any direct, indirect, incidental, consequential, special or punitive damages, including without limitation trading losses, lost profits, lost data or business interruption, arising out of or in connection with your use of the EA, the dashboard or any MFXT service, even if advised of the possibility of such damages.

Our total aggregate liability under these Terms shall not exceed the total fees you paid to MFXT in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold MFXT harmless from any claim, demand, loss, damage or expense (including reasonable legal fees) arising out of (i) your use of the EA or the dashboard in violation of these Terms, (ii) your violation of applicable law or third-party rights, or (iii) any trading loss in your brokerage account.

15. Termination

• You may stop using the EA and close your MFXT account at any time.
• We may suspend or terminate your access immediately if you breach these Terms, attempt to defraud or harm MFXT or other Users, or if required by law.
• Upon termination, the license to use the EA is revoked. Sections 5, 6, 10, 13 and 14 survive termination.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the dashboard or by email. Continued use of the service after an update constitutes acceptance of the revised Terms.

17. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which MFXT is registered, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction.
